1. Acceptance of Terms

Welcome to Block Seven ("Block Seven," "we," "us," or "our"). By accessing or using this website, submitting an enquiry, or engaging our services (collectively, the "Services"), you ("you," "your," or the "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the website or the Services.

These Terms form a legally binding agreement between you and Block Seven. Please read them carefully. Sections 6 and 7, which set out how we protect your information and act only with your approval, apply to every client we work with.

2. Description of the Service

2.1 Service Overview

Block Seven provides digital commerce services to brand owners in South Africa, including marketplace management, e-commerce management, paid media, social media management and website development. This website provides information about those services and a means to contact us.

2.2 Not Affiliated with Marketplaces or Platforms

Block Seven is an independent service provider and is not affiliated with, endorsed by, or sponsored by Takealot, Amazon, Makro, Leroy Merlin, Bob Shop, Shopify, WooCommerce, Meta, Google, or any other marketplace or platform. All references to these platforms are for identification purposes only.

2.3 Service Agreements

The delivery of services to your brand is governed by a separate written service agreement. Where these Terms and a service agreement conflict, the service agreement prevails in respect of the services it covers, except that nothing in a service agreement reduces the confidentiality and approval commitments in Sections 6 and 7.

2.4 TSeller

TSeller is our own marketplace management software. Every account we manage runs on it, and it is also available to sellers who are not Block Seven clients. Your use of TSeller as a client is part of our Services under these Terms and your service agreement. Sellers who use TSeller directly are governed by TSeller's own terms, published at tseller.co.za.

3. Eligibility

By using the Services, you represent and warrant that you are at least 18 years old, that you have the legal capacity and authority to enter into a binding agreement on behalf of yourself or the business you represent, and that you will comply with these Terms and all applicable laws, rules, and regulations.

4. Enquiries & Communications

4.1 Accuracy of Details

When you submit an enquiry or request a call back, you agree to provide accurate, current, and complete contact details. We may use those details to respond to you as described in our Privacy Policy.

4.2 Call-Back Requests

A call-back request is an invitation for us to contact you. It does not create a service agreement or any obligation on either party until a written agreement is concluded.

4.3 Enquiries Are Confidential

Anything you tell us in an enquiry, a call or a proposal discussion is treated as confidential from the first conversation, whether or not you go on to engage us.

5. Fees & Engagement

5.1 Website Use

Use of this website is free of charge.

5.2 Service Fees

Fees for our services are set out in your proposal and service agreement. Unless stated otherwise, fees are quoted in South African Rand and exclude VAT. Advertising spend paid to third-party platforms is separate from our fees unless your agreement says otherwise.

6. Confidentiality & Client Separation

6.1 All Information Is Confidential

We treat every piece of information you give us, and everything we see or generate while doing your work, as private and sensitive. This applies regardless of the kind of information: pricing, suppliers, costs, margins, sales and order data, stock levels, product plans, advertising results, customer data, credentials, strategy and internal communications are all covered, along with the personal information of your people. We do not share it with anyone outside Block Seven except as our Privacy Policy allows, and we do not sell, rent, trade or exchange it.

6.2 No Use of One Client's Information for Another

We do not use information from one client to benefit another. We manage several brands, some in overlapping categories, and each client's information stays inside that client's work. We will not use what we learn in your account to advise, price, position, plan or grow any other client, and we will not use another client's information in yours. We do not combine or compare clients' data to give any of them an advantage.

6.3 TSeller Inside Information

Because we operate TSeller, we are in a position to see activity across the accounts that run on it. We do not use that position. Inside information from TSeller, whether from other sellers' accounts, from activity across the platform or from our role as its operator, is never used to help our clients or to inform the work we do for them. Every TSeller account is kept separate, and each account's information is used only for that account's owner.

6.4 Our Team and Providers

Everyone at Block Seven is bound by confidentiality obligations covering all client information. Access to your accounts and data is limited to the team members who need it for your work. Providers we use to run the business receive only what their role requires and act only on our instructions.

6.5 Duration

These obligations apply from your first conversation with us, throughout our engagement, and after it ends. They survive the termination of these Terms and of any service agreement.

7. Authorisation & Approval

7.1 We Act Within Your Mandate

We act on your accounts only within the scope you have authorised in your service agreement and in your written instructions. Anything that would go beyond that scope, or that would move outside the limits you have set on pricing, promotions, spend or content, comes back to you for a decision first.

7.2 Nothing Is Published Without Your Approval

We do not publish, post or make public anything on your behalf without your authorisation. This covers social media posts, listings and product content, advertising creative and campaigns, website changes and any other public-facing material. Where your service agreement gives us standing approval for a defined category of work, we act within that approval and nowhere beyond it.

7.3 Publicity, Case Studies and Reviews

We do not name you as a client, show your logo, quote you, or describe your results in our own marketing, on this website, in proposals to others or anywhere else without your prior written approval. You may withdraw that approval at any time, and we will remove the material within a reasonable period.

7.4 Your Accounts Stay Yours

Your marketplace, store, advertising and social accounts, your domains, your content and your data remain yours throughout. Access you grant us is for the purpose of doing your work and is returned or revoked when that work ends.

7.5 Your Responsibilities

You agree to give approvals and instructions in reasonable time, to ensure that product information, claims and materials you provide are accurate and lawful, and to comply with the terms of the marketplaces and platforms your accounts run on.

8. Licence & Intellectual Property

8.1 Limited Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use this website for its intended informational purpose.

8.2 Our Intellectual Property

All content on this website, including text, graphics, logos, and design, is owned by or licensed to Block Seven and protected by intellectual property laws. You may not copy, reproduce, or distribute it without our prior written consent.

8.3 Your Materials

Your brand, trademarks, product information, images, content and data remain your property. You grant us only the licence we need to use them in delivering the Services you have engaged us for, and that licence ends when our work does.

9. User Conduct & Restrictions

You agree not to use the website for any unlawful purpose, attempt to gain unauthorised access to any part of it, interfere with its operation, submit false or misleading information, or use automated tools to extract content from it.

10. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information and repeats the confidentiality commitments in Section 6 in full.

11. Third-Party Services & Links

Our services involve marketplaces, advertising platforms and tools operated by third parties. Your relationship with those platforms is governed by their own terms, and we are not responsible for their availability, policies, or actions. We share with them only the information needed for the work you have authorised on each platform.

12. Disclaimer of Warranties

This website is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or that the information on it is complete or current. Results from our services vary and are not guaranteed.

13. Limitation of Liability

To the fullest extent permitted by law, Block Seven shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the website. Liability in respect of our services is governed by your service agreement.

14. Indemnification

You agree to indemnify and hold harmless Block Seven and its officers, employees, and agents from any claims, liabilities, damages, and expenses arising from your breach of these Terms or misuse of the website.

15. Termination

15.1 Termination by You

You may stop using the website at any time. Termination of our services is governed by your service agreement.

15.2 Termination by Us

We reserve the right to restrict or terminate your access to the website if we believe you have violated these Terms or engaged in unlawful conduct.

15.3 When Our Work Ends

When an engagement ends, we hand back or remove our access to your accounts, return or delete your materials as you direct and the law allows, and remove any reference to you from our marketing if you ask us to. Our confidentiality obligations continue.

16. Modifications to the Terms

We may update these Terms at our discretion. When we do, we will revise the "Last Updated" date at the top. Your continued use of the website after the changes become effective signifies your acceptance of the updated Terms. No update will weaken the commitments in Sections 6 and 7.

17. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them will be governed by the laws of South Africa, without regard to its conflict of law principles. Any claims shall be brought exclusively in the courts located in South Africa, and you consent to personal jurisdiction there.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and Block Seven regarding the Services.

Severability: If any provision is deemed invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent.
